Terms of Service

These Terms of Service (“Terms”) govern your access to and use of UpsellAdvisor (“we”, “us”), a software service that provides analytics and growth recommendations to e-commerce merchants. By creating an account or connecting your store, you agree to these Terms. If you do not agree, do not use the service. Our Privacy Policy is incorporated by reference.
1. The service
UpsellAdvisor connects to your e-commerce platform through official, permissioned APIs to compute product and store health scores, detect revenue leaks, surface cross-sell and pricing opportunities, and generate growth recommendations. All figures, scores, and recommendations are estimates and suggestions, not guarantees of results. You are responsible for reviewing any recommendation before acting on it.
2. Accounts and eligibility
- You must be at least 16 and able to form a binding contract to use the service.
- You are responsible for maintaining the security of your account and for all activity under it.
- You must provide accurate information and keep it up to date.
3. Connecting your store
You authorize UpsellAdvisor to access your store data through the platform connections you enable (e.g. Shopify, WooCommerce, and optional Google services). You represent that you have the right to grant that access and to share the data you connect. We request read-only scopes and never modify your store. Your use of each connected platform remains subject to that platform’s own terms.
4. Acceptable use
You agree not to:
- Use the service unlawfully, or to infringe anyone's rights.
- Attempt to access data belonging to other merchants, or to breach the service's tenant isolation or security.
- Reverse engineer, resell, or build a competing service from the platform, except as permitted by law.
- Overload, disrupt, or interfere with the service or its infrastructure.
5. AI-generated content
Some features use a third-party AI provider to generate content such as growth plans, product copy, social posts, and campaign ideas from your product data. AI outputs may be inaccurate or incomplete and are provided for your review. You are responsible for verifying and editing any generated content before you publish or rely on it, and for ensuring it complies with applicable laws and platform policies.
6. Subscriptions and billing
The core service may be used without charge; paid plans are optional. If you subscribe, fees are billed in advance on a recurring basis through our payment processor (Stripe). You can cancel at any time; cancellation stops future renewals and takes effect at the end of the current billing period. Except where required by law, fees already paid are non-refundable. We may change pricing prospectively with reasonable notice.
7. Intellectual property
The service, including its software, design, and content, is owned by UpsellAdvisor and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the service while your account is active. You retain all rights to your own store data; you grant us the limited right to process it to provide the service as described in the Privacy Policy.
8. Disclaimers
The service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that recommendations will increase revenue, that estimates will be accurate, or that the service will be uninterrupted or error-free. Nothing in the service is financial, legal, or tax advice.
9. Limitation of liability
To the maximum extent permitted by law, UpsellAdvisor will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim (or, if you use the service for free, USD $100).
10. Termination
You may stop using the service and disconnect your store at any time. We may suspend or terminate your access if you violate these Terms or to protect the service or other users. On termination we delete your store data and encrypted credentials as described in the Privacy Policy.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the date above and, where appropriate, by notifying you. Your continued use after changes take effect constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the jurisdiction in which UpsellAdvisor’s operating entity is established, without regard to conflict-of-laws rules. Nothing here limits any mandatory consumer rights you have under local law.
